Terms of Service

These terms govern your use of the Meridian Learning website and our educational programs. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using the Meridian Learning website (the "Site") and any services provided through it, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Site or our services.

You represent that you are at least 16 years of age. If you are between 16 and 18 years old, you may use the Site only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. Individuals under 16 are not permitted to use the Site or register for any programs.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Meridian Learning Inc. ("Meridian Learning," "we," "us," or "our"), a corporation registered in the Province of British Columbia, Canada, with offices at 1055 West Georgia Street, Suite 1500, Vancouver, BC V6E 3P3, Canada.

2. Description of Services

Meridian Learning provides online educational programs, including but not limited to:

  • Online Courses: Multi-week programs combining recorded lessons, live sessions, and practical assignments in subjects such as Applied AI & Machine Learning, Full-Stack Web Development, and personal development topics.
  • Webinar Series: Live, interactive sessions on focused topics such as Mandarin Chinese for Business, delivered over a 2-week period with real-time participation.
  • Master Classes: Deep-dive sessions on specific subjects, such as Arabic Language Foundations, designed to provide intensive learning in a condensed format.
  • Intensive Programs: Accelerated learning tracks that combine all of the above formats into a structured multi-week experience with daily or near-daily sessions.

Individual sessions typically last 60 to 75 minutes. Course durations range from 2 to 3 weeks depending on the program. Specific details for each program, including schedules, session counts, and content outlines, are provided on the relevant course pages on our Site.

All programs are delivered online. We do not operate a physical classroom. Our services are intended for adult learners and working professionals seeking to develop practical skills for career advancement and personal growth.

3. User Obligations

When using the Site and our services, you agree to:

  • Use the Site and services only for lawful purposes and in accordance with these Terms.
  • Provide accurate, current, and complete information when registering for programs or submitting forms on the Site.
  • Maintain the confidentiality of any account credentials and accept responsibility for all activities that occur under your account.
  • Refrain from sharing, distributing, or reproducing course materials, recordings, or any proprietary content without express written permission from Meridian Learning.

You must not:

  • Use automated tools, bots, scrapers, or similar technologies to access, collect, or extract data from the Site.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the operation of the Site, its servers, or networks connected to the Site.
  • Attempt to gain unauthorized access to any portion of the Site, accounts, or computer systems connected to the Site.
  • Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  • Use the Site or any content obtained from the Site for any commercial purpose not expressly permitted by Meridian Learning.
  • Engage in any activity that could damage, disable, or impair the functionality of the Site.

We reserve the right to investigate and take appropriate action, including suspension or termination of your access, if we determine that you have violated these obligations.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, audio and video recordings, course materials, curriculum designs, presentation slides, software, and the selection and arrangement thereof, is the exclusive property of Meridian Learning Inc. or its content licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and course materials solely for your personal, non-commercial educational purposes, subject to these Terms. This license does not include the right to:

  • Modify, copy, or create derivative works based on the Site or its content.
  • Sell, resell, sublicense, or distribute any content or materials obtained through the Site.
  • Record, download, or capture live sessions or webinars unless explicitly permitted for a specific program.
  • Use any Meridian Learning trademarks, logos, or branding without prior written consent.

If you submit feedback, suggestions, or ideas to us, you grant Meridian Learning an unrestricted, royalty-free, perpetual, and irrevocable license to use, reproduce, and incorporate such feedback without any obligation to you.

5. Disclaimers

The Site and all services, content, and materials provided through it are offered on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

Meridian Learning expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Site will be uninterrupted, timely, secure, or error-free.
  • Any warranty regarding the accuracy, completeness, or reliability of any content or information provided on the Site.

All educational materials are provided for learning purposes only. Our programs are designed to help you develop practical skills in various subject areas. However, we make no representations or guarantees regarding specific career outcomes, salary increases, job placements, professional certifications, or financial results from completing any program.

Instructors participate as invited guest specialists. Their participation does not constitute an endorsement by their current or former employers, and the views they express during sessions represent their individual professional expertise.

Results from our programs depend on individual effort, prior experience, aptitude, and external market conditions. We encourage prospective students to evaluate program descriptions carefully and reach out to our team with any questions before enrolling.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Meridian Learning Inc., its directors, officers, employees, agents, instructors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

  • Your use of or inability to use the Site or any services.
  • Any content or materials obtained through the Site.
  • Unauthorized access to or alteration of your transmissions or data.
  • Any conduct or content of any third party on the Site.
  • Any errors, omissions, or inaccuracies in course materials or content.

In no event shall Meridian Learning's total aggregate liability to you for all claims arising out of or relating to the use of the Site or services exceed the amount you have paid to Meridian Learning in the twelve (12) months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Meridian Learning Inc., its directors, officers, employees, agents, instructors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Site or services.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any content or information you submit, post, or transmit through the Site.
  • Your misuse of course materials or intellectual property belonging to Meridian Learning.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Site.

8. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Meridian Learning. These links are provided for your convenience and reference only.

We do not endorse, control, or assume responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. You access and use third-party websites and services entirely at your own risk.

We strongly recommend that you review the terms and privacy policies of any third-party websites before providing personal information or engaging with their services.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in our Privacy Policy.

We are committed to protecting the privacy of our users in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation in British Columbia.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the use of the Site shall be brought exclusively in the courts of the Province of British Columbia, located in Vancouver, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

If you are accessing the Site from outside Canada, you do so at your own initiative and are responsible for compliance with applicable local laws. Nothing in these Terms shall be construed to create any legal relationship between Meridian Learning and individuals in jurisdictions where the provision of our services would be contrary to local regulations.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at [email protected]. We will make reasonable efforts to resolve the Dispute through good-faith negotiation within thirty (30) days of receiving your written notice.

If the Dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered by the British Columbia International Commercial Arbitration Centre (BCICAC) in accordance with its rules. The arbitration shall take place in Vancouver, British Columbia, and shall be conducted in the English language.

The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs in connection with the arbitration, except that the arbitrator may award costs and fees to the prevailing party as part of the final award.

Notwithstanding the foregoing, either party retains the right to seek injunctive or equitable relief in a court of competent jurisdiction in Vancouver, British Columbia, to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

12. Termination

Meridian Learning reserves the right to suspend or terminate your access to the Site and services, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or any applicable policies.
  • Conduct that we reasonably believe is harmful to other users, instructors, third parties, or the business interests of Meridian Learning.
  • Extended periods of inactivity on your account.
  • Requests by law enforcement or other government agencies.
  • Discontinuation or material modification of the Site or services.

Upon termination, your right to use the Site and access course materials will cease immediately. Sections of these Terms that by their nature should survive termination will remain in full force and effect, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

If your access is terminated due to a violation of these Terms, you may not be eligible for a refund of any program fees previously paid. We will assess refund eligibility on a case-by-case basis in accordance with our refund policy.

13. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

  • Post the updated Terms on this page with a revised "Last Updated" date.
  • Provide notice through a banner on the homepage of the Site at least fourteen (14) days before the changes take effect.
  • Where appropriate, notify registered users via email at the address associated with their account.

Your continued use of the Site after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue use of the Site before the effective date.

We encourage you to review these Terms periodically to stay informed of any updates. The current version of these Terms will always be available at this page.

14. Enrollment, Payment, and Refunds

Enrollment in Meridian Learning programs is completed through the registration forms available on our Site. By enrolling, you agree to pay all applicable fees associated with the selected program at the time of registration.

All prices are listed in Canadian dollars (CAD) unless otherwise stated. Payment is processed through our secure third-party payment processors. We do not store credit card numbers on our servers.

Refund policy:

  • Cancellations made more than 7 days before the course start date are eligible for a full refund.
  • Cancellations made within 7 days of the course start date are eligible for a 50% refund or a credit toward a future program of equal or lesser value.
  • No refunds are available after the course has started, except in cases of documented medical emergency or extenuating circumstances, assessed on a case-by-case basis.

To request a cancellation or refund, please contact us at [email protected] with your enrollment details and reason for the request. We will process eligible refunds within 14 business days.

15. Course Recordings and Access

Live sessions for webinars, master classes, and intensive programs are recorded and made available to enrolled students within 24 hours of the live event. Students retain access to recordings for a period of six (6) months following the course end date.

Recordings are provided for personal review purposes only. You may not download, redistribute, share publicly, or monetize any recordings without the express written consent of Meridian Learning.

We reserve the right to remove or update recordings at any time. While we make reasonable efforts to ensure recording quality and availability, we do not guarantee that all sessions will be successfully recorded due to potential technical circumstances.

16. Certificates of Completion

Upon successfully completing all required sessions and assignments for a given program, you will receive a digital certificate of completion issued by Meridian Learning Inc. Certificates are intended to acknowledge your participation and the skills practiced during the program.

Meridian Learning certificates are not accredited academic credentials. They do not represent university credits, professional licenses, or government-recognized certifications. While our certificates can be shared on professional profiles and portfolios, the recognition and value attributed to them by employers or institutions is at their sole discretion.

17. Accessibility

Meridian Learning is committed to making our website and educational content accessible to all users, including those with disabilities. We strive to conform to Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Meridian Learning Inc. with respect to your use of the Site and services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Meridian Learning regarding the subject matter herein.

No waiver of any provision of these Terms by Meridian Learning shall be deemed a further or continuing waiver of that provision or any other provision. Meridian Learning's failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
